{"id":31708,"date":"2025-09-02T09:45:24","date_gmt":"2025-09-02T13:45:24","guid":{"rendered":"https:\/\/capital10x.com\/old\/?p=31708"},"modified":"2025-09-02T09:45:24","modified_gmt":"2025-09-02T13:45:24","slug":"ecora-to-sell-dugbe-gold-royalty-for-20m-a-significant-mark-to-market-gain","status":"publish","type":"post","link":"https:\/\/capital10x.com\/old\/ecora-to-sell-dugbe-gold-royalty-for-20m-a-significant-mark-to-market-gain\/","title":{"rendered":"Ecora to Sell Dugbe Gold Royalty for $20M, A Significant Mark to Market Gain"},"content":{"rendered":"<p><span dir=\"ltr\" role=\"presentation\"><strong>Ecora (LSE\/TSX: ECOR, OTCQX: ECRAF)<\/strong> announced that it has agreed to sell a wholly-owned <\/span><span dir=\"ltr\" role=\"presentation\">subsidiary, which holds a 2% Net Smelter Return royalty over the development stage Dugbe Gold <\/span><span dir=\"ltr\" role=\"presentation\">Project in <\/span><span dir=\"ltr\" role=\"presentation\">Liberia<\/span><span dir=\"ltr\" role=\"presentation\">, to a subsidiary of Elemental Altus Royalties Corp. for a total consideration of up to <\/span><span dir=\"ltr\" role=\"presentation\">$20.0m<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">\u00a0<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">The consideration is comprised of a <\/span><span dir=\"ltr\" role=\"presentation\">$16.5m<\/span><span dir=\"ltr\" role=\"presentation\"> upfront cash payment and contingent consideration of <\/span><span dir=\"ltr\" role=\"presentation\">up to <\/span><span dir=\"ltr\" role=\"presentation\">$3.5m<\/span><span dir=\"ltr\" role=\"presentation\"> payable as follows:<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">\u00a0<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">1)\u00a0\u00a0 <\/span><span dir=\"ltr\" role=\"presentation\">$700,000<\/span><span dir=\"ltr\" role=\"presentation\"> upon commencement of project construction; and<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">2)\u00a0\u00a0 <\/span><span dir=\"ltr\" role=\"presentation\">$2,800,000<\/span><span dir=\"ltr\" role=\"presentation\"> upon commencement of commercial production.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">The <\/span><span dir=\"ltr\" role=\"presentation\">$3.5m<\/span><span dir=\"ltr\" role=\"presentation\"> contingent consideration is payable in full in the event the project is built to a smaller <\/span><span dir=\"ltr\" role=\"presentation\">scale than that contemplated in the Dugbe Gold Project Feasibility Study (effective date 13 June <\/span><span dir=\"ltr\" role=\"presentation\">2022) upon the cumulative production of 150koz of gold.<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">\u00a0<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">Ecora acquired the Dugbe royalty in 2012, which had a carrying value of <\/span><span dir=\"ltr\" role=\"presentation\">$5.9m<\/span><span dir=\"ltr\" role=\"presentation\"> as at 31 December <\/span><span dir=\"ltr\" role=\"presentation\">2024.<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">\u00a0<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">The transaction is expected to close in the coming days.<\/span><br role=\"presentation\" \/><br role=\"presentation\" \/><div class=\"su-quote su-quote-style-default su-quote-has-cite\"><div class=\"su-quote-inner su-u-clearfix su-u-trim\">The transaction unlocks value from a development stage asset in a non-core commodity and will enable us to accelerate the Group&#8217;s deleveraging, as well as providing further flexibility to acquire cash generative royalties within our targeted commodity basket in time.
